1.1 Business Users Only — Mandatory Confirmation: Access to signGo.live is strictly restricted to businesses and organisations. By creating an account, you expressly represent, warrant, and confirm that:

• You are accessing our Services solely for business, commercial, or organisational purposes
• You are NOT a "consumer" as defined under the Australian Consumer Law (ACL)
• You have authority to bind the business or organisation you represent
• You are at least 18 years of age

1.2 Explicit Checkbox Required: During registration, you must check a box confirming: "I confirm I am registering on behalf of a business or organisation and will use this service for business purposes only." Accounts without this confirmation will be suspended.

1.3 Right to Verify: We reserve the right to verify your business status at any time. We may request documentation (ABN, ACN, registration certificate) based on risk indicators. However, your confirmation at registration that you are a business is binding regardless of whether we request verification. Failure to provide verification when requested within 14 days results in termination.

1.4 Consequences of Misrepresentation: If you register as a business but are actually a consumer, or use our Services for personal/domestic purposes:

• These Terms (including liability limitations) remain binding to the maximum extent permitted by law
• We may terminate your account immediately without refund
• You indemnify us for all losses arising from your misrepresentation
• Any statutory guarantees that cannot be excluded are limited to replacement, repair, or refund at our election

1.5 Why This Matters: The month-to-month structure, pricing, and liability limitations in these Terms are based on the assumption that you are a business acquiring services for business purposes. If you are a consumer, different laws may apply that cannot be excluded.

2.1 Technical Delivery Service Only: signGo.live provides a month-to-month technical infrastructure service that enables you to deliver your own content to your own display screens. We provide only the technical means for transmission—we do not create, source, edit, review, verify, approve, or control any content. You are purchasing temporary, revocable access to cloud-based delivery infrastructure for a rolling monthly period.

2.2 Content You Control: You may upload, organise into playlists, and deliver your own content including images, videos, and website streams to your own display screens via unique URL web addresses. All content is yours—you are solely responsible for its creation, legality, accuracy, and appropriateness.

2.3 No Long-Term Commitment: Either party may terminate this relationship at any time. You may cancel at any time with effect from the end of the current billing period. We may suspend or terminate your access at any time, for any reason, with or without notice.

2.4 Payment for Infrastructure Access, Not Content: Your monthly payment grants you access to our technical infrastructure for that calendar month only. Each payment is a separate transaction for that month's access to the delivery platform. Non-payment or cancellation immediately terminates your right to access. We do not sell, licence, or provide any content.

4.1 Permitted Use: You may access and use our technical infrastructure only as expressly authorised by these Terms. You have no other rights in or to the Services. Any use not expressly permitted is prohibited.

4.2 Your Content: You may upload content to our infrastructure ("Your Content"). You retain ownership of Your Content, but you grant us the limited licenses described in Section 8 solely to operate the technical delivery service. We claim no ownership over your content.

4.3 Platform as Neutral Delivery Method: You acknowledge that we provide only a technical method for delivering your content. We are not responsible for the substance, accuracy, legality, appropriateness, or consequences of any content you upload, including images, videos, website streams, or any other materials.

4.4 Restrictions: You agree not to:

• Copy, modify, distribute, sell, or lease any part of our technical infrastructure or software
• Reverse engineer or attempt to extract source code from our Services
• Use our infrastructure for any illegal purpose or in violation of any laws
• Upload content that infringes third-party intellectual property rights
• Interfere with or disrupt our infrastructure or servers
• Use the Services for personal, domestic, or household purposes

5.1 Rolling Monthly Access: Your subscription grants access to our technical infrastructure for one calendar month at a time. Each month is a separate, independent service period. Access automatically renews monthly unless cancelled.

5.2 14-Day Trial: New accounts receive a 14-day free trial to test the technical delivery infrastructure with your own content. After the trial, you must provide payment to continue access. No charges during the trial period. Trial converts to paid month-to-month subscription unless cancelled.

5.3 Payment Authorisation: You authorise Image IT Design Pty Ltd to charge the monthly access fee (plus applicable GST) via PayPal recurring billing each month until you cancel. You may cancel at any time through your PayPal account or by contacting us.

5.4 Failed Payment: Three failed payment attempts result in immediate suspension of access. Data retained for 30 days post-suspension, then permanently deleted. Reinstatement requires payment of the current month's fee.

5.5 No Refunds: Fees are paid for the upcoming month's infrastructure access. No refunds or credits for partial months, unused days, or downtime. If we terminate for convenience, we may refund the unused portion at our sole discretion.

6.1 Immediate Termination by You: You may cancel your month-to-month subscription at any time. Cancellation takes effect at the end of the current paid period. No further charges. Access continues until period end.

6.2 Immediate Termination by Us: Image IT Design Pty Ltd may suspend or terminate your access immediately, at any time, with or without cause, with or without prior notice, for any reason. This includes but is not limited to: Terms violation, failure to maintain business status, suspected copyright infringement, inactivity, law enforcement requests, service discontinuation, technical issues, fraud, non-payment, or any reason we deem appropriate.

6.3 Effect of Termination: Upon termination:

• Your right to access the technical infrastructure ceases immediately
• We may delete Your Content and account data without liability
• No refund of current month's fees
• Any licences granted by you survive as necessary for our operations
• Provisions intended to survive termination remain in effect

6.4 No Continuity Obligation: We have no obligation to maintain, support, or provide the technical infrastructure beyond the current month for which you have paid. Each month is independent.

6.5 Force Majeure: We are not liable for failures or termination caused by events beyond our control, including internet outages, cloud infrastructure failures, cyberattacks, or natural disasters.

7.1 Ownership: Image IT Design Pty Ltd owns all right, title, and interest in and to the technical infrastructure and Services, including all software, code, algorithms, user interfaces, databases, tools, documentation, and any modifications or derivatives thereof. This includes all intellectual property rights worldwide. We own the "pipe"—you own the "water" (your content).

7.2 No Transfer of Rights: These Terms do not grant you any ownership interest in our technical infrastructure or Services. You are granted only a limited, non-exclusive, non-transferable, revocable license to access and use the technical infrastructure strictly in accordance with these Terms. This license terminates automatically upon any breach or termination of these Terms.

8.1 Your Sole Responsibility: You are solely responsible for Your Content and the consequences of uploading, displaying, or distributing it. You represent and warrant that you own or have all necessary rights to Your Content and that it does not violate any third-party rights, including copyright, trademark, or privacy rights.

8.2 Neutral Platform — No Review or Approval: We act solely as a passive conduit and technical service provider. We do not select, modify, review, approve, verify, or endorse any content uploaded by users. Our role is strictly limited to providing the technical means for you to transmit your own content to your own displays. We have no editorial control.

8.3 Copyright Infringement: Image IT Design Pty Ltd respects intellectual property rights. If you believe content on our infrastructure infringes your copyright, contact us with the required information. Please see section 14.

8.4 Your Indemnification: You agree to indemnify and hold harmless Image IT Design Pty Ltd, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: Your Content, your use of the Services, your violation of these Terms, or your violation of any third-party rights.

10.1 Acknowledgment of Service Nature: You acknowledge and agree that:

• You are purchasing access to technical delivery infrastructure only, not content, a product, or a perpetual licence
• The Services are provided for business purposes only
• The ACL consumer guarantees do not apply to your use of the Services
• The pricing reflects the monthly, terminable-at-will nature of the infrastructure service and the allocation of risk between the parties
• You have no expectation of continuity beyond the current paid month
• We do not control, verify, or approve any content you transmit

10.2 Exclusion of Warranties: TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TECHNICAL INFRASTRUCTURE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT: THE SERVICES WILL MEET YOUR REQUIREMENTS; THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THE RESULTS FROM USING THE SERVICES WILL BE ACCURATE OR RELIABLE; OR ANY ERRORS IN THE SERVICES WILL BE CORRECTED.

10.3 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW:

(a) Cap on Liability: IMAGE IT DESIGN PTY LTD'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES IS LIMITED TO THE AMOUNT PAID BY YOU FOR THE CURRENT MONTH IN WHICH THE CLAIM ARISES. This reflects the month-to-month nature of the infrastructure service.

(b) Excluded Damages: IN NO EVENT WILL IMAGE IT DESIGN PTY LTD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY.

(c) No Liability for Content: WE ARE NOT LIABLE FOR ANY CLAIMS ARISING FROM YOUR CONTENT, INCLUDING DEFAMATION, COPYRIGHT INFRINGEMENT, MISLEADING CONDUCT, OR ANY OTHER LEGAL THEORY. ALL CONTENT LIABILITY RESTS SOLELY WITH YOU AS THE UPLOADER AND PUBLISHER.

(d) Basis of Bargain: You acknowledge that these limitations are fundamental elements of the basis of the bargain between you and Image IT Design Pty Ltd. The month-to-month structure, low pricing, and limited liability are interdependent. We would not provide the Services without these limitations.

10.4 No Reliance: You acknowledge that you have not relied on any representations, warranties, or guarantees other than those expressly stated in these Terms. You are purchasing a month-to-month, terminable technical delivery service and accept all risks of use.

Entire Agreement: These Terms constitute the entire agreement between you and Image IT Design Pty Ltd regarding the Services.

Severability: If any provision is unenforceable, the remaining provisions remain in full force.

No Waiver: Our failure to enforce any right does not waive that right.

Assignment: You may not assign these Terms. Image IT Design Pty Ltd may assign these Terms without restriction.
